Protecting Staffing Business Interests
Summary
To protect your staffing business, consider using non-disclosure agreements (NDAs), non-compete clauses, and exclusive service agreements. Common business contracts include confidentiality agreements, intellectual property agreements, service level agreements, payment terms agreements, and indemnity agreements. A Service Level Agreement (SLA) can also be referred to as a service contract or service agreement. Many elements like confidentiality and non-compete clauses can be included in a service agreement, but intellectual property and indemnity agreements often require separate documents. A non-solicitation clause can prevent clients from directly hiring your employees. Always consult a local attorney for personalized advice.Full Conversation

I am afraid they might go to him directly or when they find out he is getting paid so low that will really bad on me and the guy might go to my friend directly. how do I protect myself and what other things should I do?
To protect yourself, consider:
*. Drafting a non-disclosure agreement (NDA) to prevent sharing of financial details.
*. Include a non-compete clause in your contract to prevent your friend from directly hiring.
*. An exclusive service provision agreement with your talent to maintain control.
Remember, laws can vary. Consult a local attorney for personalized advice.

Yes, many of the elements mentioned can be incorporated into a Service Agreement as clauses, such as confidentiality, non-compete, payment terms, etc. However, be sure to consult with a local attorney to ensure they're drafted correctly.
so than after taking out the things that can be mentioned in the service agreement. what is left that usually requires a separate document?
An Intellectual Property (IP) Agreement often requires a separate document, especially if there's collaborative work involved. An Indemnity Agreement may also be separate to manage potential legal risks. Consult a local attorney to ensure that your documents meet all legal requirements.

A Non-Disclosure Agreement (NDA) can be a separate document or integrated as a clause in a Service Agreement. However, if the confidentiality concerns are complex, it's common to have a standalone NDA. Always consult a local attorney for personalized advice.

However, you can make sure that it covers important elements such as the scope of services, payment terms, confidentiality, non-solicitation, and termination clauses.
perfect can you check those please?
